Real Estate Law

Mr. Freedman advises commercial clients in complex lease transactions and for any landlord-tenant disputes, as well as handling sophisticated commercial real estate financing transactions often involving complex financing such as construction loans, securitized loans, and Industrial Development Agency (I.D.A.) and Small Business Administration (S.B.A.) Financing.
Freedman Law, P.C. represents developers, investors and businesses in the acquisition, development, financing, sale, purchase and leasing of real estate. Mr. Freedman is fully familiar with and well-versed in condominium and cooperative ownership, homeowners associations and other planned-unit developments, and the regulation of land use and zoning law, which ensures our clients will be well represented in complex real estate transactions, such as tax deferred like-kind 1031 exchanges.
Mr. Freedman drafts, reviews and negotiates all documentation relative to real estate transactions, including contracts of sale, leases, real estate brokerage commission agreements, title reports, mortgage documents, license agreements, offering plans and engineering and environmental reports. He possesses the highest level of experience and expertise to successfully negotiate and consummate any real estate transaction for his clients.
Corporate Law and Business Transactions
Freedman Law, P.C. represents clients in various corporate, commercial and business matters, providing strategic and planning advice as well as ensuring that clients achieve their business goals. Mr. Freedman regularly engages in the formation of business entities and the drafting of shareholder, partnership, and operating agreements. Additionally, Mr. Freedman advises families, small businesses, privately held companies, public companies and start-ups with respect to the acquisition and sale of stock or assets, development and joint venture agreements, mergers and acquisitions, employment, consulting and guaranteed payment agreements, buy-out agreements, licensing agreements, confidentiality agreements and restrictive covenants and various other related corporate and business contracts and agreements.
The firm regularly represents clients in negotiating complex corporate and business financing transactions, such as debt financing, construction loans and mezzanine financing. Mr. Freedman attends to all corporate and business needs of clients with a particular focus on minimizing any and all potential tax consequences to those clients.
Land Use and Zoning Law
Freedman Law, P.C. represents clients in all aspects of land use regulation and zoning law. Mr. Freedman is experienced in representing clients and appearing before certain zoning boards, planning commissions and boards of trustees in connection with applications for site plan, variance and zoning approvals. He represents developers and owners for the submission of condominium and homeowners association offering plans to the office of the New York Attorney General.
The firm has advised and counseled clients through various municipal, administrative and legislative approval processes. Mr. Freedman assists clients in obtaining all necessary land use approval and permits from municipal agencies and required to use and develop their real estate.
